CoPact Terms and Conditions for Users

1. Introduction

1.1 Acceptance of Terms: By accessing or using the CoPact platform, you agree to be bound by these Terms and Conditions, as well as any additional terms and policies referenced herein.

1.2 Modifications: CoPact reserves the right to modify these Terms and Conditions at any time. Continued use of the platform after changes constitutes your acceptance of the new terms.

2. User Registration and Account Management

2.1 Eligibility: You must be at least 18 years of age or the age of majority in your jurisdiction to create an account and use the platform.

2.2 Account Information: You agree to provide accurate, current, and complete information when registering an account and to update such information as necessary.

2.3 Security: You are responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account.

3. CoPact Guarantee

3.1 Commitment to Measurable Results: The CoPact platform guarantees that every partnership will deliver measurable results. These results will be defined by CoPact, Partner, & client and include impact goals, responsibilities, & key milestones.

3.2 Goal Setting and Responsibilities: The Client and the Partner will align on the specific impact goals of the partnership and the responsibilities of each party, including but not limited to partnership support, data access, and continuous feedback

3.3 Milestone Achievement: The impact goals and responsibilities will be tied to key milestones within the partnership, with clear deliverables and deadlines.

3.4 Waiver of Impact Guarantee: If the Client is unable to fulfill their responsibilities necessary to achieve the impact goals at a particular milestone, the impact guarantee for that milestone will be waived.

3.5 Partner Refund: If the Partner is unable to deliver the agreed-upon impact at any milestone, during that quarterly impact check the client, partner, & CoPact will align on a go-forward approach to ensure impact is delivered moving forward. Based on the meeting and milestone performance, Client will make a determination if a refund request is needed. If all parties are unable to align on the exact refund amount, CoPact will make final determination for refund (up to 30%) for that milestone.

3.6 CoPact Refund: In addition to the Partner's refund, CoPact will also refund ten percent (10%) of the fees associated with that milestone as a gesture of commitment to quality and results.

3.7 Refund Process: The refund will be processed within 30 days of the failure to meet the milestone, upon agreement that the impact goals were not met.

3.8 Quality and Service Standards: If the impact cannot be delivered, or if the quality of services provided by the Partner does not meet the agreed-upon standards, the Client has the right to cancel the contract at no additional cost.

3.9 Notice of Cancellation: The Client must provide written notice of cancellation, specifying the reasons for the decision, at least 30 days before the intended termination date.

4. Use of the Platform

4.1 Permitted Use: The platform may be used solely for lawful purposes and in accordance with these Terms and Conditions.

4.2 Prohibited Use: You may not use the platform to engage in activities that are harmful, illegal, or violate the rights of others, including but not limited to intellectual property rights.

4.3 Data Usage: By using the platform, you consent to the collection and use of data as outlined in our Privacy Policy.

5. Fees and Payments

5.1 Pricing: Fees for services will be outlined in the specific agreements between CoPact and the client. Pricing is subject to change, and any changes will be communicated in advance.

5.2 Payment Terms: Payments are due as specified in the agreement. Failure to pay may result in suspension or termination of services.

6. Confidentiality

6.1 Confidential Information: Both parties agree to protect confidential information from unauthorized use or disclosure.

6.2 Non-Disclosure: You agree not to disclose any confidential information obtained through the platform without the prior written consent of the other party.

7. Intellectual Property

7.1 Ownership: All content, software, and technology on the platform are the intellectual property of CoPact or its licensors. You are granted a limited, non-exclusive license to use the platform for its intended purpose.

7.2 Restrictions: You may not copy, modify, distribute, or create derivative works based on the platform without prior written permission.

8. Termination

8.1 Termination by User: You may terminate your account at any time by providing written notice to CoPact.

8.2 Termination by CoPact: CoPact reserves the right to suspend or terminate your account for violation of these Terms and Conditions or for any other reason deemed necessary.

9. Limitation of Liability

9.1 Disclaimer: CoPact provides the platform "as is" and disclaims all warranties, express or implied, to the fullest extent permitted by law.

9.2 Limitation: In no event shall CoPact be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.

10. Dispute Resolution

10.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

11. Miscellaneous

11.1 Entire Agreement: These Terms and Conditions, along with any agreements and policies referenced herein, constitute the entire agreement between you and CoPact.

11.2 Severability: If any provision of these Terms and Conditions is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Acceptance

By using the CoPact platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
