These Terms of Use (the “Terms”) govern your access to and use of the CoPact website, platform, and services, including any assessments, tools, content, or AI powered functionality provided by CoPact Inc. (“CoPact,” “we,” “our,” or “us”) (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
1. Eligibility and Authority
You represent and warrant that:

Your use of the Services is for professional or commercial purposes
The Services are not intended for personal or consumer use.
2. Scope of Services
CoPact provides outcome oriented assessments, strategic insights, execution support, and AI enabled tools designed to help organizations identify priorities, activate initiatives, and own results.
The Services may evolve over time. CoPact may modify, suspend, or discontinue any portion of the Services at any time.
3. No Professional Advice
The Services provide general business insights and recommendations. They do not constitute legal, financial, accounting, investment, or other regulated professional advice.
You are responsible for all decisions made based on use of the Services.
4. User Responsibilities
You agree to:

Provide accurate and complete information

Use the Services only for lawful business purposes

Maintain the confidentiality of any account credentials

Ensure that your use of the Services complies with applicable laws and regulations
You may not:

Misuse, interfere with, or disrupt the Services

Reverse engineer, scrape, or attempt to extract underlying models or logic

Use the Services to develop or train competing products

Upload content you do not have the right to use
5. Intellectual Property
All content, software, methodologies, workflows, templates, and materials provided through the Services are owned by CoPact or its licensors and are protected by intellectual property laws.
Subject to these Terms, CoPact grants you a limited, non exclusive, non transferable license to use the Services for your internal business purposes.
No rights are granted except as expressly stated.
6. Client Data and Confidentiality
You retain ownership of your confidential business information submitted through the Services.
CoPact will treat client confidential information in accordance with its Privacy Policy and will not use such data to train public or third party AI models.
Aggregated and anonymized data may be used to improve internal systems and offerings.
7. Fees and Payment
Certain Services may require payment. Fees, billing terms, and payment schedules will be provided separately through order forms, statements of work, or platform disclosures.
Failure to pay applicable fees may result in suspension or termination of access.
8. Term and Termination
These Terms remain in effect while you access or use the Services.
CoPact may suspend or terminate access to the Services if you violate these Terms or misuse the Services.
Upon termination, your right to use the Services will immediately cease.
9. Disclaimers
The Services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, CoPact disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non infringement.
10. Limitation of Liability
To the maximum extent permitted by law:

CoPact will not be liable for indirect, incidental, special, consequential, or punitive damages

CoPact’s total liability arising out of or related to the Services will not exceed the amounts paid by you to CoPact in the twelve months preceding the claim
11. Indemnification
You agree to indemnify and hold harmless CoPact and its officers, directors, employees, and partners from any claims, damages, liabilities, and expenses arising from your use of the Services or violation of these Terms.
12. Third Party Services
The Services may integrate with or reference third party tools or services. CoPact is not responsible for third party services and does not control their terms or practices.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
Any disputes arising under these Terms will be resolved exclusively in the state or federal courts located in Delaware.
14. Changes to These Terms
CoPact may update these Terms from time to time. Updates will be reflected by a revised Last Updated date. Continued use of the Services after changes constitutes acceptance of the updated Terms.
